Terms of Service

Effective date: October 14, 2026
Last updated: October 14, 2026

IMPORTANT: SECTION 19 CONTAINS A BINDING ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER.

It requires you and us to resolve most disputes by individual arbitration, not in court and not by a jury, and it does not allow class actions. You can still use small claims court. You may opt out of arbitration within 30 days after your first order under these Terms (Section 19.11).

Read Section 19 or see how to opt out.

About These Terms

These Terms of Service ("Terms") are the contract between you and Meet Ivory for purchases from meetivory.com. They also contain the rules for using our website.

These Terms apply to your purchases from us. You accept these Terms when you place an order after a notice or checkbox at checkout refers to them (for example the statement above the payment button that you agree to Meet Ivory's terms, or a terms checkbox in the payment step). The version shown on the date of your order applies to that order. If you do not agree to these Terms, please do not place an order.

When our checkout refers to Meet Ivory's "terms and conditions" or "Terms of Sale", it means these Terms together with the policies listed below. The same version rule applies to those policies: the versions shown on our website on the date of your order apply to that order. You can ask us at support@meetivory.com for a copy of the versions that applied to your order, or of any earlier version.

Our policies are part of these Terms. The following policies are included in these Terms by reference:

Our Privacy Policy explains how we collect, use and share personal information. It is a notice to you and is not part of this contract.

If these documents say different things. If these Terms and one of these policies say different things about the same subject, the policy controls for that subject. If the Refund Policy and the Shipping Policy say different things, the Refund Policy controls. Section 19 (arbitration) and Section 20 (governing law and courts) of these Terms always control over anything in any policy.

Contents

1. Who We Are

Meet Ivory is a trade name of OTSIAX-Online, registered with the Netherlands Chamber of Commerce (KVK) under number 80704212, Strevelsweg 700-303, 3083 AS Rotterdam, the Netherlands ("Meet Ivory", "we", "us" or "our").

"You" means the person who places an order with us.

You can reach us by email at support@meetivory.com or through our contact page. We reply within 2 business days (Monday to Friday). In these Terms, "business days" means Monday through Friday, excluding US federal holidays, and times are US Eastern Time.

2. Payments, Whop and Your Statement

We are the seller. We are the seller and supplier of every product you buy from us, and your contract for the product is with us.

Who processes your payment. Our checkout at checkout.meetivory.com is hosted by our checkout provider, Lasso. Payments are processed by Whop, Inc. (whop.com, Brooklyn, New York), which acts as merchant of record solely for card network rules and payment settlement. Whop is not the seller of our products. Whop's own terms govern your relationship with Whop. Questions about a product, a delivery, a return or a refund should come to us, not to Whop.

Payment methods. We accept Visa, Mastercard, American Express, Discover, Apple Pay, Google Pay and US bank account (ACH). The payment options shown at checkout apply.

What you will see on your statement. Card charges show on your statement as WHOP*MEETIVORY, and your bank's verification screen may show WHOP.COM. Both refer to your purchase from Meet Ivory.

A charge you do not recognize. If you do not recognize a charge from WHOP*MEETIVORY or WHOP.COM, or from one of our invoices, email support@meetivory.com with the date and amount of the charge, and we will tell you which order it belongs to.

Separate invoices. Sometimes we send a separate invoice, for example for a reshipment or an exchange you asked for. We send one only for something you have agreed to in writing, and the invoice email says what it is for. These invoices may be paid through Shopify Payments on a Shopify checkout page. The charge can then show a different name on your statement than WHOP*MEETIVORY. The payment options shown on the invoice apply, and these Terms also apply to that payment.

Your authorization. When you pay, you confirm that you are allowed to use the payment method, that your payment details are correct, and that we may charge the total shown before you pay.

Duplicate charges. We charge your order total once. A separate invoice you agreed to is not a duplicate. If you see two charges for the same order that you did not agree to, contact us and we will refund the duplicate charge in full within 7 business days. If you placed the same order twice by mistake, tell us as soon as possible. We cancel the second order for a full refund if it has not yet been transmitted to our warehouse partner. Otherwise, you can return it under Section 7(a).

3. Eligibility and Use of Our Website

  • You must be at least 18 years old, or the age of majority where you live if that is higher.
  • You buy for your own personal or household use, including gifts, and not for commercial resale.
  • The information you give us, including your name, email address, shipping address and payment details, must be accurate and complete.
  • We sell and ship only to addresses in the United States.

When you use our website, please do not:

  • break the law or help anyone else break it;
  • place fraudulent orders or use a payment method you are not authorized to use;
  • harass, threaten or abuse our staff or anyone else;
  • pretend to be someone else or give false information;
  • upload viruses or other harmful code, or try to get around our security;
  • copy or collect content or data from our website with automated tools, except as ordinary search engines do; or
  • send spam or unsolicited advertising through our website.

Nothing in these Terms restricts you from posting honest reviews or sharing your honest opinion about us or our products.

4. Orders, Acceptance and Cancellation

Your order is an offer. When you place an order, you offer to buy the products in it. We accept your offer when we transmit your order to our warehouse partner for preparation. Our order confirmation email confirms that we received your order. It is not our acceptance, and authorizing or charging your payment is not acceptance either.

When these Terms bind us both. You agree to these Terms, including Section 19, when you place your order, as explained in "About These Terms". They apply to that order even if we later cancel it or do not ship it.

When we may refuse or cancel an order. Before your order ships, we may refuse or cancel it, or part of it, if we suspect fraud or unauthorized use of a payment method, if an item is out of stock, or if a price or product description contains an obvious error, such as a typo that shows the wrong price. If we cancel after you have paid, we tell you by email and refund you in full to your original payment method within 7 business days.

Prices we honor. We honor the price you paid for every order that we do not cancel under this Section.

Cancelling your order. You can cancel your order for free and get a full refund until we have transmitted it to our warehouse partner (and so accepted it). Orders are transmitted automatically, so we cannot promise that a cancellation request will arrive in time. Please email support@meetivory.com with your order number as soon as possible. We confirm by email whether the cancellation was possible, and if it was not, we tell you why. If it was, we refund you in full to your original payment method within 7 business days. After your order has been transmitted, it can no longer be cancelled, except because of a shipping delay under Section 6, and our Refund Policy applies instead. To correct a shipping address, see Section 6. The details are in the cancellation section of our Refund Policy.

Your order number. Please use the order number from your order confirmation email when you track your order or contact us. The checkout confirmation screen may show a different reference number.

5. Prices, Discounts, Taxes and Duties

Prices. All prices are in US dollars. The price you pay is the price shown at checkout when you place your order.

Multi-item discounts. Multi-item discounts shown on our site are applied automatically at checkout, and your order total shows the discount before you pay. If you return only some items from a discounted order, we refund the price you actually paid for the returned items. The discount is spread across all items in the order in proportion to their prices, as explained in our Refund Policy.

Promotions and discount codes. Promotions can change or end, but a change never affects an order you have already placed. A discount code can be used only under the conditions stated with it, and it has no cash value.

Shipping costs. Shipping is free on every order. A shipping fee applies only to a new shipment that you ask for and that we do not owe you under these Terms or our policies: sending a different size or color in exchange for an item that was correct, or sending your order again after a parcel was not collected, was refused, or could not be delivered because the address you entered was incorrect or incomplete. We always tell you the amount before we ship.

Sales tax. Any sales tax we collect is shown at checkout before you pay.

Import duties. We do not charge import duties or customs fees at checkout. You should not be asked to pay anything on delivery. If a carrier asks you to pay import charges, contact us before you pay.

6. Shipping, Delivery, Title and Risk of Loss

Our Shipping Policy has the full details. In short:

  • Processing: we prepare your order and create a shipping label within 1 to 3 business days.
  • Hand-over to the carrier: your order ships from our fulfillment partner outside the United States. We hand it to the carrier usually about a week after your order, and no later than 12 business days after your order.
  • Delivery: most orders arrive 9 to 18 days after you order. Please allow up to 25 days. The latest expected delivery date for your order is 25 days after your order date. If your order is delayed, we may email you a new latest expected delivery date, and that date replaces the 25 days. If your order has not arrived by its latest expected delivery date, email us and we will check with the carrier.
  • Multiple parcels: if you order more than one item, your items may ship in separate parcels and arrive on different days, at no extra cost. Each parcel shows on our tracking page. If one parcel arrives before the others, the others may still be on their way.
  • Tracking: track your order at meetivory.com/apps/parcelpanel with your order number and the email address you used at checkout. Tracking may show no movement for about a week after the label is created. That is normal.

If we cannot ship on time. In this paragraph, "ship" means handing your parcel to the carrier. If we cannot ship your order within 12 business days after you place it, we email you as soon as we know, and before that deadline passes. The email gives you a new shipping date and a new latest expected delivery date, or tells you that we cannot give a new date and why, and offers you the choice to accept the delay or to cancel your order for a full refund. If the new date is no more than 30 days after the original deadline and you do not cancel before your order ships, your order continues. If the new date is later than that, or we cannot give a date, we cancel your order and refund you in full unless, within 30 days after the original deadline, you tell us that you accept the delay or we ship your order before you cancel. If we then cannot ship by the new date, we email you again before that date with another new date, or tell you that we cannot give one, and the same choice. Unless you tell us before the new date that you agree to wait longer, we then cancel your order and refund you in full. If you agree to wait without a set date, you can still cancel at any time before your order ships. When an order is cancelled for any of these reasons, we refund the full amount you paid to your original payment method within 7 business days after it is cancelled.

Free tracked and insured shipping. Every order ships free, with tracking, and insured by us. "Insured" means insured by Meet Ivory: we carry the risk of loss and damage in transit ourselves, at no cost to you. It is our own promise to you: there is no separate charge, you do not deal with an insurance company, and you never need to file a claim with a carrier or an insurer. If your order has not been delivered 30 days after your order date, or if the carrier confirms that your parcel is lost, email support@meetivory.com with your order number. If your order arrives damaged, email us within 14 days of delivery with your order number and photos. In each case we will send you a free replacement of the affected items or, if you prefer, a full refund for them. If you notice damage later, contact us anyway: this time limit does not reduce any rights you have under the law. This promise does not cover a parcel that the carrier has shown was delivered to the address you entered at checkout (see "Delivered but not received" below). It also does not cover a parcel held for pickup that was not collected after we emailed you about it in time, a parcel that could not be delivered because the address you entered was incorrect or incomplete, or a parcel that you refused, unless it was visibly damaged or a carrier asked you to pay import charges to receive it (see "Parcels held for pickup, refused or returned" below). The details are in the insurance promise in our Shipping Policy.

Title and risk of loss. Ownership of the products and the risk of loss or damage pass to you when the carrier delivers the parcel to your shipping address. Until then, the risk stays with us. There are three exceptions, explained in "Parcels held for pickup, refused or returned" below: if we emailed you in time that your parcel is being held for pickup, the risk passes to you when we send that email; if the parcel cannot be delivered because the address you entered was incorrect or incomplete, the risk passes to you when the carrier reports that it cannot deliver the parcel; and if you refuse a parcel that is not visibly damaged, and no carrier asked you to pay import charges to receive it, the risk passes to you when you refuse it.

Delivered but not received. If tracking shows your parcel as delivered but you cannot find it, please check with neighbors, household members, your building's mail room and your local post office. If you still cannot find it, tell us within 14 days after tracking first shows it as delivered, while the carrier can still investigate. If you tell us later, we still help, but the carrier may no longer be able to investigate. This time limit does not reduce any rights you have under the law. We will send you the delivery details we receive from the carrier, such as the date, time and place of delivery and a delivery photo if there is one, and we will open an investigation with the carrier. If the carrier confirms that the parcel was delivered to a different address, or if, within 14 days after you contacted us, the carrier cannot show that it was delivered at your shipping address (for example with a delivery photo, a GPS location or a delivery record that shows your street address), we will send you a free replacement or, if you prefer, a full refund. We are not responsible for a parcel that is stolen after the carrier has shown that it was delivered to the address you entered at checkout.

Your shipping address. Please check your shipping address at checkout. If it is wrong, email support@meetivory.com as soon as possible, and within 12 hours of placing your order, with your order number and the correct US address. Orders are transmitted to our warehouse partner automatically, so we cannot promise that a change is still possible. We reply to tell you whether we changed the address. If we confirmed the change and your parcel still goes to the old address, we treat that as our error and send you a free replacement or, if you prefer, a full refund.

Parcels held for pickup, refused or returned. If the carrier holds your parcel at a post office or pickup point, we email you what the carrier tells us about where it is and the carrier's pickup deadline, if the carrier gives one, as soon as we learn that it is being held. Please collect it before that deadline. If the carrier does not give a deadline, please collect it within 7 days after our email; for these Terms, that is the pickup deadline. If the parcel is no longer there when you try to collect it before the pickup deadline, our insured shipping promise above applies. Refusing a parcel does not cancel your order and is not a way to return it. Parcels that are not collected, parcels you refused, and parcels that cannot be delivered because of an incorrect or incomplete address cannot be sent back to us and may be destroyed by the carrier or its logistics partners. If we emailed you about the held parcel at least 3 days before the pickup deadline and it was not collected, if the parcel could not be delivered because the address you entered was incorrect or incomplete, or if you refused the parcel (unless it was visibly damaged, a carrier asked you to pay import charges to receive it, or you had already cancelled your order because of a shipping delay), we are not required to refund your order. In these cases we can send your order again for a shipping fee, which we tell you before we ship. If we did not email you about a held parcel in time, our insured shipping promise above applies instead.

7. Returns, Exchanges and Refunds

Our Refund Policy has the full details. In short, there are two cases.

(a) Change of mind or fit. To return an item, register the return with us at support@meetivory.com within 30 days of delivery, before you send anything. Items must be unworn and unwashed, in the condition you received them. Tags are not required. You pay the return shipping. Because returns go to our international warehouse, this usually costs about $30 to $40. We inspect returns when they arrive and email you the result. If we approve the return, we refund the price you paid for the item, plus any sales tax you paid on it (see "How and when refunds are paid" below).

(b) Our error: an item that is defective or damaged, or that is not the item, color or size you ordered. Report it to us at support@meetivory.com with your order number and photos within 14 days of delivery. We will send you a free replacement or, if you prefer, refund you in full, and you do not pay any shipping. If a replacement is not available, we refund you in full for that item. You do not need to return the item unless we ask you to. If we do, we send you return instructions and pay the return shipping. If you accept a replacement, it resolves your request for that item, unless the replacement also arrives damaged, defective or wrong. If you find a problem later, contact us anyway. This time limit does not reduce any rights you have under the law. These rights come in addition to any warranty or other right the law gives you.

Exchanges. If we sent the right item but you would like a different size or color of the same product, we can send it for an exchange shipping fee that we tell you before we ship. You do not need to return the first item.

Partial refunds. For some requests we may offer a partial refund so that you can keep the item. You never have to accept it. You can always choose a return under Section 7(a) instead or, if the item is defective, damaged or wrong, a replacement or full refund under Section 7(b). If you accept the offer in writing (a reply to our email is enough), the partial refund settles your request for that item.

How and when refunds are paid. We refund to your original payment method. Refunds for an approved return, and for an item under Section 7(b), are issued within 10 business days after we approve them. Refunds for a cancelled order, and for an order that was lost or not delivered under Section 6, are issued within 7 business days after the order is cancelled or after you tell us that you choose the refund. We email you when a refund has been issued, and we confirm a refund only once it has been issued. Your bank may need 5 to 10 more business days to show it on your statement.

Your rights under Section 7(a) and our exchanges are terms of sale, not a warranty.

8. Payment Disputes and Chargebacks

If something is wrong with your order or a charge, please contact us first at support@meetivory.com with your order number. We reply within 2 business days (Monday to Friday), and contacting us is usually the fastest way to a replacement or refund under our policies.

Nothing in these Terms limits your right to dispute a charge with your card issuer or bank under the Fair Credit Billing Act, Regulation Z, the Electronic Fund Transfer Act, card network rules or other applicable law. Section 19 does not apply to those disputes, and you do not need to send a Notice of Dispute first.

If you dispute a charge with your card issuer or bank, or open a case about a payment with Whop, we may give your card issuer or bank, the card networks and Whop, directly or through Whop or Shopify Payments, the records we need to respond: your name and addresses and the details of your order and any earlier orders with us; the delivery estimate and other emails we sent you about the order; its shipping, tracking and proof of delivery; our communications with you, including photos you sent us and any settlement you accepted; technical details of the order or payment, such as the IP address and device used; and your acceptance of our Terms of Service and policies. We share only what is relevant to the dispute.

We never charge you a fee because you disputed a charge. We may decline future orders from a customer who disputes a charge after the order was delivered, refunded or replaced, or after accepting a settlement.

9. Product Information and Sizing

We describe and photograph our products as accurately as we can. Colors can look slightly different depending on your screen, the lighting in photos and the production batch. Size charts are a guide. If you are between two sizes, we suggest the larger size.

If an item you receive is materially different from its description, photos or size chart, it counts as a wrong item under Section 7(b). Slight differences of the kind described above do not make an item wrong or materially different, and neither does an item that matches the size you ordered and the size chart shown on the product page but does not fit you. For those, you can return the item under Section 7(a) or ask for a size exchange.

Our products are imported. We may change product descriptions, stop selling a product or limit quantities at any time. This does not affect orders we have already accepted.

10. Warranties

Section 7 and our Refund Policy describe what we do if an item is defective, damaged or not what you ordered.

Nothing in these Terms disclaims or limits the warranties that the law implies for the products you buy from us, or your remedies if we break them.

To the extent permitted by law, we provide the general information and features on our website "as available", and we do not promise that the website will always be available, uninterrupted or free of errors. This paragraph does not apply to the products you buy.

11. Limitation of Liability

To the extent permitted by law:

  • we are not liable for indirect, incidental, special, consequential or punitive damages; and
  • our total liability for any claim is limited to the amount you paid for the order the claim relates to, or $100, whichever is greater.

These limits never apply to fraud or fraudulent misrepresentation, gross negligence or willful misconduct, death or personal injury caused by negligence, or any liability that cannot be limited by law, including rights under consumer protection laws that cannot be waived. They also never reduce a refund, replacement or reshipment we owe you under these Terms or our policies. They also do not limit what you can recover if a product breaks a warranty implied by law, or if we do not keep our promises in Section 7(b).

These Terms do not shorten the time the law gives you to bring a claim.

12. Indemnity

You agree to cover amounts we must pay to a third party, such as damages or a settlement you approved, because of a claim by that third party that is caused by (a) your fraud, (b) your unlawful use of our website, or (c) content you submit, such as a review or photo, that infringes the rights of someone else. We control the defense of any such claim at our own cost. This section does not cover your ordinary use of our website or products.

13. Reviews, Photos and Feedback

If you submit a review, photo, comment or other content ("Content"), you keep ownership of it and give us a non-exclusive, royalty-free, worldwide license to display, reproduce and use it in connection with our store and our marketing. We will ask for your separate permission before we use your photo, name or likeness in an advertisement. We will never require you to give up your rights in a review, and we will never charge you or penalize you because of a review.

We moderate reviews only on neutral grounds that we apply equally to positive and negative reviews. We may remove content that is unlawful, contains personal information or trade secrets, is spam or unrelated to the product, is harassing, abusive, obscene, vulgar, sexually explicit or discriminatory, or infringes someone else's rights, and content that we reasonably believe is fake.

Your Content must reflect your own genuine experience. If you received anything in return for a review, such as a discount or a free product, you must say so in the review.

If you send us ideas or suggestions, we may use them without paying you.

14. Emails, Text Messages and Notices

Order emails and notices. When you place an order, you agree that we may send you notices about your order and these Terms by email to the address you used at checkout. These include order confirmations, shipping and delay notices, refund notices and legal notices. To the extent the law allows, electronic notices meet any requirement that a notice be in writing. You can update your email address, or ask for a paper copy of any notice at no charge, by emailing support@meetivory.com.

Marketing emails. Marketing emails are optional and are never a condition of buying from us. You can unsubscribe at any time with the link in every marketing email.

Text messages. If you sign up for our marketing text messages, our SMS Terms apply to them. Consent to receive marketing texts is not a condition of purchase. Message frequency varies. Message and data rates may apply. Reply STOP to cancel and HELP for help. We also honor opt-out requests you send us in any other reasonable way. If you have accepted these Terms, Section 19 applies to disputes about our messages.

15. Intellectual Property, Third-Party Services and Privacy

Our content. The Meet Ivory name, our logo and the content on our website are protected by intellectual property laws. You may view and use our website for your own personal shopping. You may not copy, sell or reuse our content for commercial purposes without our written permission. If you believe content on our website infringes your rights, email support@meetivory.com and we will review it.

Third-party services. We use third-party services to run our store, including Shopify (website hosting), Lasso (checkout), Whop (payment processing), ParcelPanel (order tracking), Klaviyo (email) and our text message provider. Their own terms govern their services. They are not the sellers of our products and are not responsible for our obligations to you. Links to other websites are provided for convenience, and we are not responsible for those websites.

Privacy. Our Privacy Policy explains how we collect, use and share personal information, and the privacy choices you have.

16. Events Beyond Our Control

We are not responsible for a delay or failure to perform that is caused by events beyond our reasonable control, such as carrier or customs disruptions, strikes, natural disasters, epidemics, war, government action or outages of the platforms we rely on. This does not change our refund obligations. If such an event delays your shipment, we still send you the delay notice and cancellation option described in Section 6, and if we cannot deliver your order at all, we refund you in full.

17. Promotions and Giveaways

Some promotions have their own conditions, which are shown with the promotion. If a promotion's conditions and these Terms say different things about that promotion, the promotion's conditions control for that promotion. Sections 19 and 20 still apply to your purchases.

Giveaways are governed by our Giveaway Terms. No purchase is necessary to enter or win.

18. Suspension of Access

We may suspend or block access to our website, or decline future orders, if we reasonably believe that someone has broken these Terms, committed fraud or misused our website. This does not affect orders we have already accepted, refunds we owe, or your rights under Section 19.

19. Dispute Resolution: Binding Individual Arbitration and Class Action Waiver

Please read this section carefully. It affects your legal rights. In short: (1) contact us first, and we both try to resolve the dispute within 60 days; (2) if we cannot, most disputes go to individual arbitration with the American Arbitration Association, not to court; (3) small claims court stays available; (4) class actions are not allowed; (5) we pay the arbitration fees except your filing fee, which we reimburse for claims under $10,000; and (6) you can opt out within 30 days after your first order under these Terms. This section does not limit your right to dispute a charge with your card issuer or bank (Section 8). The full text below controls.

19.1 Scope and the Federal Arbitration Act

You and we agree that any dispute, claim or controversy arising out of or relating to your purchases from us (including an order we cancel or do not ship), your use of our website in connection with those purchases, our products, or our communications with you about your orders, our products or our offers, including emails and text messages (a "Dispute"), will be resolved by binding individual arbitration, except as provided in Section 19.3. This Section 19 also applies to disputes about a giveaway, as our Giveaway Terms explain.

A Dispute does not include a dispute of a charge that you raise with your card issuer, bank or payment provider under the Fair Credit Billing Act, the Electronic Fund Transfer Act or card network rules. Section 8 applies to those disputes, and you do not need to send a Notice of Dispute first.

This includes Disputes that arose before you accepted these Terms. It does not include a Dispute that was already filed in court or in arbitration, or described in a Notice of Dispute under Section 19.2, before you accepted these Terms. It also does not apply to your claims in a class action that was filed before you accepted these Terms and that includes you in the proposed class. To the extent California Civil Code Section 1670.15 applies, this agreement covers only the disputes that statute allows.

This arbitration agreement is governed by the Federal Arbitration Act, 9 U.S.C. Section 1 and following, including, where applicable, Chapter 2 of that Act.

YOU UNDERSTAND THAT YOU ARE GIVING UP THE RIGHT TO SUE IN COURT AND TO HAVE A JURY TRIAL, EXCEPT AS PROVIDED IN SECTION 19.3. An arbitrator, not a judge or jury, decides the Dispute. Arbitration has more limited discovery and appeal than court, but the arbitrator can award you the same individual relief a court could.

19.2 Informal Dispute Resolution First

Before starting an arbitration or a small claims case, the person or business with the Dispute must send the other an individual written Notice of Dispute.

  • From you to us: email support@meetivory.com with the subject line "Notice of Dispute", or send it by mail to OTSIAX-Online (Meet Ivory), Attn: Notice of Dispute, Strevelsweg 700-303, 3083 AS Rotterdam, the Netherlands.
  • From us to you: to the email address you used for your order.

The Notice must include the claimant's name, the email address used for the order, the order number, a description of the Dispute and the relief requested. It must be signed personally by the claimant (a typed name in an email the claimant sends is enough), and also by the claimant's lawyer if the claimant has one. Each Notice may cover only one person's Dispute.

You and we then have 60 days from receipt of the Notice to try to resolve the Dispute. Within that period, either of us may ask for an individual settlement call of up to 30 minutes by phone or video. If you have a lawyer, your lawyer may join the call.

All limitation periods and filing fee deadlines are paused (tolled) from the day the Notice is received until the 60-day period ends. If the Dispute is not resolved within 60 days, either of us may start an arbitration or, if the claim qualifies, a small claims case. Any disagreement about whether this Section 19.2 was followed is decided by the AAA Process Arbitrator or, if none has been appointed, the arbitrator.

19.3 Exception: Small Claims Court

This exception applies equally to you and to us. Either of us may bring an individual claim in small claims court in the county where you live or the county where your order was delivered, if the claim qualifies. Either of us may also, before the arbitrator is appointed, choose under the AAA rules to have a claim that was filed in arbitration decided in small claims court instead.

19.4 Arbitration Provider, Rules and Hearings

The arbitration is administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules and, where they apply, its Mass Arbitration Supplementary Rules, as modified by this Section 19. The rules are available at www.adr.org, and we will send you a copy on request.

If the AAA is unavailable or declines to administer the arbitration, you and we will agree on another arbitration provider. If we cannot agree, a court will appoint one under 9 U.S.C. Section 5. However, if the AAA declines to administer, or closes, your arbitration because we did not pay a fee on time or did not register this arbitration agreement with the AAA, you may bring your Dispute in court under Section 20 instead.

The arbitration is decided by one arbitrator, who must be a retired judge or a lawyer with at least 10 years of practice.

Claims of $25,000 or less are decided on written submissions, unless either of us asks for a hearing under the AAA rules or the arbitrator decides that a hearing is needed. Hearings take place by video unless the arbitrator decides otherwise. If an in-person hearing is held, it takes place in the county where you live, unless you and we agree on another place.

The arbitrator may award any individual relief that a court could award to you individually, including damages, statutory damages and attorneys' fees where a law provides for them. On request, the arbitrator will issue a written, reasoned award. An award binds only the parties to that arbitration. Except as Section 19.8 provides, it has no preclusive or precedential effect in any other arbitration or case.

19.5 Fees

We pay all AAA administrative fees and all arbitrator compensation, except your filing fee. The AAA currently caps a consumer's filing fee at $225. In a mass arbitration, the fees the AAA assigns to you for your case count as your filing fee, and we pay any part of them above $225. If your claim is for less than $10,000 and the arbitrator does not find it frivolous, we will reimburse your filing fee.

Each of us pays our own attorneys' fees and costs, unless a law or the AAA rules allow the arbitrator to award them to you. We will not seek attorneys' fees or costs from you in arbitration unless the arbitrator finds that your claim was frivolous or brought for an improper purpose under the standard of Federal Rule of Civil Procedure 11(b), and then only to the extent the law that governs your claim would allow a court to award them.

19.6 Who Decides What

The arbitrator decides all questions about whether a Dispute must be arbitrated, including the formation, scope, validity and enforceability of this arbitration agreement, except that a court decides:

  • (a) whether the class, collective and representative action waiver in Section 19.7 and the batch arbitration provision in Section 19.9 are valid and enforceable;
  • (b) whether a claim seeks public injunctive relief, and how that claim is severed, under Section 19.8; and
  • (c) whether you validly opted out under Section 19.11, and whether a change applies to you under Section 19.12.

Disagreements about the informal resolution requirement in Section 19.2, the filing requirements in Section 19.10 and fees are decided by the AAA Process Arbitrator or the arbitrator.

19.7 Individual Claims Only: No Class Actions and No Jury

You and we may bring Disputes only individually, and not as a plaintiff or class member in any class, collective, consolidated or representative action or proceeding. A Dispute is not combined with other people's Disputes, except for the administrative batching in Section 19.9. Class arbitration is never allowed. The arbitrator may award relief only to the individual who brought the claim, and only to the extent needed to resolve that person's claim.

To the fullest extent permitted by law, you and we waive any right to a jury trial.

This section does not prevent you from taking part in a class-wide settlement of claims against us.

19.8 Public Injunctive Relief

If a claim seeks public injunctive relief (a court order meant mainly to benefit the general public) that cannot be waived under applicable law, that request, and only that request, is severed and decided by a court in the forum described in Section 20. The court case is paused until the arbitrator has decided all individual claims and remedies. To the extent permitted by law, the arbitrator's findings bind the court.

19.9 Batch Arbitration

If 25 or more Notices of Dispute or arbitration demands that raise substantially similar Disputes are sent or filed within 180 days by, or with the help of, the same or coordinated lawyers or organizations, the following applies:

  • The AAA administers the demands in batches of up to 100 claimants each. All batches proceed at the same time (concurrently), not one after another.
  • Each batch has one merits arbitrator, one set of procedural deadlines, one hearing if a hearing is held, and, to the extent the AAA agrees, one set of administrative fees. If the AAA does not agree to one set of fees per batch, its mass arbitration fee schedule applies.
  • The arbitrator decides each claim on its own merits and issues a separate award for each claimant. No claimant's case is a test case (bellwether) for anyone else, and no award has precedential effect for any other claimant or batch.
  • Limitation periods are paused (tolled) for all claimants in the group from the date the first Notice of Dispute in the group is received.
  • The AAA Process Arbitrator decides any disagreement about whether and how this Section 19.9 applies.
  • Any claimant may instead take an eligible claim to small claims court under Section 19.3.

19.10 Filing Requirements

Each arbitration demand must include the information required for a Notice of Dispute in Section 19.2 and must be signed by the person bringing the claim. If that person has a lawyer, the lawyer must also certify, under the standard of Federal Rule of Civil Procedure 11(b), that the claimant made a purchase from us (or, for a dispute under our Giveaway Terms, entered the giveaway) and that the claim has a factual basis. If the claimant has no lawyer, the claimant makes that certification. The AAA Process Arbitrator, or the arbitrator, may dismiss a demand that does not meet these requirements without prejudice, so that it can be filed again correctly. If a demand is dismissed under this section, limitation periods for that claim are paused (tolled) from the day the demand was filed until 30 days after the dismissal.

19.11 Your Right to Opt Out

You may opt out of this arbitration agreement within 30 days after the first order you place under a version of these Terms that contains this arbitration agreement. To opt out, email support@meetivory.com with the subject line "Arbitration Opt-Out" and include your name, the email address used for your order, your order number and a statement that you opt out of arbitration. We confirm opt-outs by email.

Opting out affects only this Section 19. All other parts of these Terms still apply, and we will not treat you differently because you opted out. If you opted out before, your opt-out stays valid for later orders.

19.12 Changes to This Section

If we change this Section 19, the change never applies to a Dispute that either of us had notice of before the change. For a material change, we give at least 30 days' notice on our website and by email to customers with open orders. You may reject the change by emailing support@meetivory.com with the subject line "Reject Arbitration Change" within 30 days after the change takes effect or, if later, within 30 days after your first order under the changed version. The earlier version of this Section 19 then continues to govern your Disputes. If we stop using the AAA or close our store, the last version of this Section 19 that you accepted continues to apply.

19.13 Severability and Survival

If the class, collective or representative action waiver in Section 19.7 is found unenforceable for a claim, that claim, and only that claim, must proceed in court in the forum described in Section 20. It is paused until the individual arbitration of the other claims is finished, and it is never heard in class arbitration.

If Section 19.9 is found unenforceable, it is removed and the AAA Mass Arbitration Supplementary Rules apply without that modification. If any other part of this Section 19 is found invalid, that part is removed and the rest is enforced.

This Section 19 continues to apply after your purchase is complete, after your access to our website ends and after these Terms are replaced.

20. Governing Law and Courts

The Federal Arbitration Act governs Section 19. Otherwise, these Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. If you are a consumer, this choice of law does not take away any protection you have under the laws of the US state where you live that cannot be excluded by agreement.

You may bring any matter that is not arbitrated in the state or federal courts that serve the county where you live, or in the state or federal courts in New Castle County, Delaware, at your choice. We will bring a claim against you in court only in small claims court or in the courts that serve the county where you live.

21. Changes to These Terms

We may update these Terms from time to time. Each version shows its effective date at the top of this page. A new version applies only to orders placed on or after its effective date, and never to an order placed before that version was posted on this page. The version you accepted when you placed an order continues to govern that order. Section 19 of the version you accepted most recently applies to Disputes as described in Sections 19.1 and 19.12, and Section 19.12 also applies to changes to Section 19.

When we make material changes, we post the new version here with a new effective date. We keep copies of earlier versions, and you can ask us for them.
